Company of the Canadian Gas Processors Association (the Association),
hereby appoints

at the Annual General Meeting of the Association to be held on

extent and with the same power as if the undersigned was personally
present at the said meeting or such adjournment or adjournments
thereof and, without limiting the generality of the power hereby
conferred, the nominee named above is specifically directed:

holder with respect to the amendments or variations to matters
identified in the Notice of Meeting and on such other matters which
